Formation Bio raises a fund to rescue shelved drugs

The AI-native drug developer has gathered $600M from foundations and hospitals to buy 10 to 15 stalled clinical programs.

Formation Bio has closed a $600M debut vehicle called the Drug Development Accelerator Fund, aimed at a corner of the industry most investors avoid: the clinical-stage asset that lost its corporate sponsor.

The New York company plans to acquire 10 to 15 programs over three to five years, drawing mostly on Phase 1 and Phase 2 candidates licensed out of larger portfolios. It favors disease areas with real unmet need and few competitors still developing.

The capital structure is the unusual part. Money behind it comes from research foundations, university endowments, hospitals and philanthropic organizations, a base more accustomed to funding grants than buying drug assets. The firm’s own capital sits in the fund next to theirs, and a wholly owned subsidiary carries the general partner role.

Each program sits in a standalone corporate entity, keeping asset economics separate while all share one development organization. That sends dollars toward clinical work instead of duplicating legal, regulatory and manufacturing overhead across a dozen small companies.

Formation Bio already runs a hub-and-spoke model built this way, pairing an AI-native development platform with an in-house clinical operating team. The fund only finances programs inside that portfolio.

Chief executive Benjamine Liu framed drug-asset investing as a distinct category for institutional money, and said the structure creates paths to liquidity without selling the parent company. Chief business officer David Steinberg said promising medicines often get stranded inside company pipelines, and the fund offers a way to unlock them by leaning on the scale of an AI-native developer. Chief scientific officer Michael Ehlers called it a meaningful next step for applying AI to therapy development.

The bet is that drug programs fail more often from neglect than bad science. Formation is wagering $600M that a second owner can change the answer.
